Provider Agreement

This Provider Agreement (the “Agreement”) is between Safed Inc., doing business as Cleaneaty (“Cleaneaty”), and you, the independent service provider (“Provider,” “you”). By applying to and accepting work through the Cleaneaty platform, you accept this Agreement.
1. Independent contractor
You are an independent contractor, not an employee, agent, or partner of Cleaneaty. Nothing in this Agreement creates an employment relationship. You are free to accept or decline work, set your own availability, and work for other companies or clients, including other platforms. You are responsible for your own taxes (a completed W-9 is required), and you are not eligible for Cleaneaty employee benefits. You determine the manner and means of performing services within professional standards and the customer's booked scope.
2. Vetting and eligibility
You represent that all application information is accurate, that you are legally eligible to work in the United States, and that you hold and will maintain any insurance and qualifications you have represented, including a current certificate of insurance where applicable. You will keep your documents up to date; expired documentation may pause your access to new jobs.
3. Jobs, availability, and coverage
Open jobs matching your services and boroughs appear on your job board; you may claim them, or Cleaneaty may offer you an assignment. You control your availability calendar; days you mark off will not surface jobs. Once you claim or accept a job, the customer is counting on you.
4. Drops and reliability
You may release (drop) a claimed job through the platform up to 48 hours before its arrival window, with a reason. Inside 48 hours, contact the office — repeated late drops, no-shows, or a pattern of drops may result in removal from the platform. Once you are en route or on site, dropping through the platform is not available.
5. On-site conduct and status updates
You agree to keep job statuses current in the provider portal (confirm, en route, arrived, start, complete), to start the job clock only when work actually begins and complete it when work actually ends, to perform services professionally and treat customer property with care, and to promptly report any incident, damage, or customer concern to Cleaneaty.
6. Pay
Cleaning services are paid hourly at your agreed rate, computed from your recorded start to completion of the job, subject to verification and good-faith correction by Cleaneaty (for example, when a clock was left running). Repairs and property-care jobs are paid as a percentage of the job's pre-tax price, fixed when you take the job. Earnings are settled weekly. Falsifying time records is grounds for immediate removal and forfeiture of the falsified amounts.
7. Customer relationships
Customers introduced to you through Cleaneaty are Cleaneaty's customers. During your engagement and for 12 months after your last job through the platform, you agree not to solicit or accept direct engagements from Cleaneaty customers outside the platform. Doing so causes Cleaneaty real loss in recruiting, marketing, and vetting investment; you agree that Cleaneaty may recover a $2,500 fee per circumvented customer relationship and may remove you from the platform. This does not limit your right to serve clients you did not meet through Cleaneaty.
8. Confidentiality
Customer names, addresses, phone numbers, access notes, and job details are confidential. Use them only to perform the job. Never share, retain, or use customer access information (keys, codes, doorman instructions) outside the job.
9. Damage and insurance
You are responsible for damage caused by your negligence in performing services. Cleaneaty may, at its discretion, resolve a customer claim and recover reasonable, documented costs from your future earnings after discussing the claim with you. Maintaining appropriate insurance is your responsibility where represented in your application.
10. Term and termination
Either party may end this Agreement at any time. Cleaneaty may suspend or remove you from the platform immediately for cause, including safety issues, dishonesty, falsified records, confidentiality violations, or repeated reliability failures. Earned, verified amounts for completed work are paid out per the normal settlement schedule. Sections 7, 8, and 9 survive termination for their stated periods.
11. Disputes
Any dispute arising out of this Agreement shall be resolved by binding individual arbitration in New York County, New York, under the American Arbitration Association's rules, and each party waives participation in class or representative proceedings. Either party may bring an individual claim in small-claims court. This Agreement is governed by New York law. You may opt out of arbitration within 30 days of acceptance by emailing hello@cleaneaty.com.
12. General
If any provision is unenforceable, the rest remains in effect. This Agreement and the platform policies referenced in it are the entire agreement regarding provider services. Cleaneaty may update this Agreement; material changes will be posted with an updated date, and continued use of the platform constitutes acceptance.
